Who these terms are with

Sitesmith is operated by Foundry XD LLC. "We" and "us" mean Foundry XD LLC. "You" means the business buying the site.

These terms cover what you buy on this site. A signed project agreement, where one exists, controls anything these terms do not.

Two ways to buy

Own it: one payment, from $1,500 for Standard and from $2,500 for Signature. The site is yours on full payment. The first month of the matching care plan is included, and care is optional after that.

Lease it: $500 down and $49 a month for Standard, $1,500 down and $99 a month for Signature. We build, host, and maintain the site while the plan is active. The deposit is not refundable.

The price you pay is the price shown at checkout. Final scope is confirmed on your call, and work outside the agreed scope is quoted in writing before it starts.

Buying out a lease

You can buy a leased site outright at any time for $1,000, either tier. Your deposit comes off the own price, so $500 plus $1,000 is the $1,500 Standard price, and $1,500 plus $1,000 is the $2,500 Signature price. Monthly payments pay for the service and do not reduce the buyout.

On the buyout clearing, the site becomes yours under the ownership terms below.

Cancelling a lease

You can cancel the monthly plan at any time. Cancellation takes effect at the end of the period you have paid for, and we do not refund part of a month.

A leased site comes down when the lease ends. You keep your domain, and we will point it wherever you ask. We will also hand over your content, your images, and your text.

The design, code, and build of a leased site stay ours unless you buy it out.

Your domain

Your domain is yours, on both paths. If it is registered in your own account it stays there and we only change where it points. If we register it for you, it is registered in your name and transfers to you on request, provided your account is paid current.

Ownership of an owned site

On full payment you own the design, the content, and the build of your site. Until payment clears, the work stays ours.

Third-party tools, fonts, stock images, and platform licenses stay with their owners under their own terms.

We may show the work in our portfolio and may include a small "Site by Sitesmith" credit in the footer.

The care plan

Care plans are Essential at $25 a month, Growth at $49 a month, and Partner at $99 a month, or the same plans yearly at a 20 percent saving. What each covers is listed on the pricing section of this site.

Care bills monthly in advance until you cancel. You can cancel from your client portal or by emailing or texting us. Cancelling stops the plan at the end of the paid period.

Work outside your plan is quoted in writing before it starts.

Payment

Payments are processed by Stripe. We never see or store your card details.

Balances more than 15 days overdue pause work, and we may suspend hosting on a leased or hosted site until the account is paid current. Any transfer of a domain, hosting, or code requires the account to be paid current.

What you provide

You provide your logo, colors, photos, copy, and access to your domain and any accounts the build needs. Delays in providing them move the timeline.

You confirm you have the right to use everything you give us, and you are responsible for the accuracy of every claim on your site, including prices, licenses, guarantees, and service areas.

Timeline and unresponsive projects

Milestones are set at kickoff and both sides act in good faith. Delays outside our control extend deadlines by the same amount.

If we cannot reach you for 30 days we may pause the project. If we cannot reach you for 90 days we may close it, keep the deposit, and bill for the work completed.

Fixes and limits

We fix bugs in what we delivered, reported within 30 days of the site going live, at no charge.

We do not guarantee search rankings, lead volume, revenue, or the uptime of services we do not run, including registrars, hosting providers, and booking or payment platforms.

Our total liability is capped at what you have paid us.

Governing law

These terms are governed by the laws of the State of California. If any part is unenforceable, the rest stands. Changes to these terms are valid only in writing.
